Terms of Service
Introduction
These Terms of Service (“Terms”) govern your access to and use of Rufusly, an AI-powered content and intelligence platform for Amazon and Shopify sellers (“Rufusly”, “we”, “us”, “our”). Rufusly is a trading name of LUMINOUS EMPORIUM LTD, a company registered in England and Wales (company number 16201976), registered office 124-128 City Road, London, EC1V 2NX, United Kingdom.
By creating an account or using Rufusly, you agree to these Terms. If you are using Rufusly on behalf of a business, you represent that you have authority to bind that business to these Terms.
The service
Rufusly provides the following tools to Amazon and Shopify sellers:
- Listing Studio: AI-powered rewriting of Amazon product listings including titles, bullet points, descriptions, and backend search terms
- Image Studio: AI-generated product images for Amazon listings including hero images, lifestyle shots, infographics, and A+ content panels
- BI Reports: Weekly account performance analysis and business intelligence reports. This is planned, not yet built, and is not included in any paid plan today. If it launches it will be announced separately, and nothing you pay for now depends on it
- MCP Server: Model Context Protocol integration, available on all plans, for AI assistants to query your Rufusly content and, where you have connected your Amazon account via SP-API, your Amazon account data
- Advertising manager: planned, not yet generally available. When released it will read your Amazon advertising reports and, only inside a plan you set for products you choose, set up and run Sponsored Products advertising for those products and adjust it over time, as described under Advertising plans in the Amazon account connection section
We reserve the right to modify, suspend, or discontinue any feature of the service with reasonable notice.
Your account
Registration
You must be at least 18 years old to create a Rufusly account. You agree to provide accurate information and keep it up to date.
Account security
You are responsible for keeping your password secure and for all activity that occurs under your account. Notify us immediately at hello@rufusly.ai if you become aware of any unauthorised use.
Free trial
New accounts start on a 30-day free trial with access to every feature and an allowance of 10 listing rewrites and 10 image generations. No payment card is required to start the trial. When the 30-day trial ends, your account is not deleted and you keep a core toolset: your saved work and campaign history, ASIN lookup, the flat file audit, and the product editor. The free allowance does not refresh: any unused trial credits stay on your account and no new free credits are added. To keep generating listings and images once those credits are used, you will need a paid plan. If you accept a temporary upgrade offer from us, the credits of that offer replace your trial credits for its duration, and your trial credits may not be restored when it ends. Trial credits cannot be transferred to another account. This change to the free allowance applies immediately to accounts created on or after 14 September 2026, and to accounts created before that date from 14 October 2026 or, if later, 30 days after we email you about it. We may change, reduce, or withdraw the free allowance at any time on 30 days' notice by email or in-product notice. Any paid subscription you have already been charged for is unaffected.
Amazon account connection
Rufusly can connect to your Amazon Seller Central account via Amazon's Selling Partner API (SP-API) for richer, seller-specific data. Accepting these Terms does not itself grant us SP-API access to your Amazon account: you are shown a separate, explicit in-product consent step (Amazon's own authorisation flow) before any connection is made, and access begins only once you complete that step.
Your responsibilities when connecting SP-API
- You are the owner of the Amazon account or are authorised to act on its behalf
- You have the right to grant us access to the account data described in our Privacy Policy
- Your use of Rufusly complies with Amazon's Selling Partner API Developer Agreement and all Amazon policies
- You will revoke our access if you no longer wish us to access your account data
Amazon relationship disclaimer: Rufusly is an independent service provider. We are not affiliated with, endorsed by, or sponsored by Amazon.com, Inc. or its affiliates. Amazon is not responsible for Rufusly's services. You remain solely responsible for complying with Amazon's terms of service and policies.
Writes only with your approval, or inside your advertising plan
Rufusly reads your Amazon data automatically to power features like the listing dashboard and keyword intelligence. We only ever write back to your Amazon account, such as publishing a listing change or submitting Amazon-templated review request emails, when you explicitly review and approve that specific action. Rufusly does not place Amazon orders, update inventory, or take any other action on your Amazon account that you have not specifically requested. Advertising will be the one exception, and only on the terms set out under Advertising plans below: once our advertising manager is released, you will be able to choose to let Rufusly set up and run Sponsored Products advertising for the products you choose, inside limits you set, and nothing is changed until you make that choice. Review request emails are submitted through Amazon's own Solicitations API using only the order ID: we never see or process the buyer's name, email, or other contact details.
Advertising plans
Rufusly's advertising tools are not yet generally available. When they are released, they will work in three stages, and the first two make no changes to your Amazon account at all.
- Watch. Rufusly reads your advertising reports and shows you what it would have changed, and why. Nothing is applied.
- Plan. You choose which products to advertise and confirm a starting daily budget for each, set a target advertising cost of sale, a daily spending ceiling if you want one, and how much you want Rufusly to do. The default is Suggest only, where every change waits for your approval. You can instead choose Handle the routine, where changes inside your limits are applied for you and can be undone where Amazon allows, while pausing anything still waits for your approval, or Handle everything within my limits, which also allows pausing.
- Act. Rufusly applies changes only inside the plan you set. Automation begins only when you choose a level above Suggest only and confirm it, and you can change or stop the plan at any time.
Whatever level you choose, the following always apply:
- Rufusly only sets up and runs Sponsored Products advertising, meaning campaigns, ad groups, product ads, keywords, product targets and negative keywords, for products you have chosen in Rufusly. It never advertises a product you have not chosen. The starting daily budget for each campaign it creates is the amount you confirmed, and Rufusly never changes that budget afterwards. Through nightly review of search term reports, Rufusly can add and archive keywords and negative keywords, but only inside campaigns it created itself; it never changes the budget of a campaign it did not create. Amazon's own advertising system can deliver somewhat more than a campaign's set daily budget on a given day, under Amazon's own delivery and reporting mechanics; that is Amazon's behaviour, not a change Rufusly makes, and Rufusly does not control or guarantee what Amazon actually spends against a budget on any given day. Within the limits you set, Rufusly may also raise or lower bids and pause or re-enable targets in the campaigns it created, subject to your daily spending ceiling and your daily limit on automatic changes. The one exception to Rufusly never touching a campaign it did not create is the handover: if you choose that option, Rufusly will pause, never delete, your existing ads for those same products, and only those, 48 hours after the new ones start, so the two do not compete for the same shoppers. You can resume a paused ad yourself at any time.
- Every applied change is recorded with what it was before, what it became, and the reason. A bid change can be put back to its previous value and a paused target re-enabled, from within Rufusly, wherever Amazon allows it. Archiving a keyword or negative keyword on Amazon cannot be undone once it happens: Rufusly can add the same keyword back as a new one, but the archived one itself is gone for good. A reversal that would raise spend, such as putting a lowered bid back up or re-enabling a paused target, is subject to your daily spending ceiling, if you have set one, like any other increase. Reversing a change restores the setting; it does not recover spend or sales in the meantime.
- If you set a daily spending ceiling, it is a limit on what Rufusly will do, not a cap on what Amazon will spend. If you do not set one, only the daily limit on automatic changes below restrains how far bids can rise. Once the spend Amazon has reported for the day reaches your ceiling, Rufusly will not raise any bid, whoever asks. Amazon continues to serve your ads within the campaign budgets you set in your Amazon account, and Amazon's reporting can run several hours behind, so your actual spend on a given day can exceed the ceiling. If you need a hard limit on spend, set it in your Amazon campaign budgets.
- Rufusly makes no more than a set number of automatic changes a day, which you can adjust, so a mistaken rule is contained rather than repeated.
- A single control pauses all automation immediately, and nothing is applied while it is on.
You set the limits of your plan. A change applied inside those limits is a change you have authorised in advance by setting that plan, and you remain responsible for your Amazon advertising account and for spend within those limits. Rufusly does not guarantee any advertising outcome. If Rufusly applies a change that your plan did not allow, or applies a change incorrectly, that is our error: we will reverse it where Amazon allows, and our responsibility for the spend it caused is set out under Limitation of liability below. If you would rather approve each change yourself, leave the level at Suggest only.
Acceptable use
You agree not to use Rufusly to:
- Violate any applicable laws, regulations, or Amazon's terms of service
- Generate content that is false, misleading, or fraudulent
- Generate content that infringes third-party intellectual property rights
- Attempt to circumvent any technical limitations, security measures, or usage quotas
- Resell, sublicense, or redistribute access to Rufusly without our written permission
- Use automated scripts or bots to interact with the service outside of our published API
- Reverse engineer, decompile, or attempt to extract source code from Rufusly
Subscription and payment

MCP server access is included on every plan, including the free trial. Prices are in pounds sterling and no VAT is charged. If that changes we will give notice before any VAT is added. We reserve the right to change pricing with 30 days' notice to existing subscribers.
Billing and renewal
Subscriptions are billed monthly in advance. Payments are processed by Stripe. Subscriptions automatically renew unless cancelled before the renewal date.
Refunds
Subscription fees are generally non-refundable except as required by UK law, including your statutory rights under the Consumer Contracts Regulations 2013 where applicable. Separately from any statutory cancellation right, contact hello@rufusly.ai within 7 days of a charge if you believe a billing error has occurred. The 7-day billing-error window does not reduce or replace any statutory right you hold.
Lifetime plan
The lifetime plan is a separate one-time purchase, not a subscription. It grants access to the service, with the monthly credit allowance stated at the point of sale, for as long as the service operates. It is not a promise for a fixed number of years and does not survive the discontinuation of the service. The price you paid is fixed: if we later become VAT registered, VAT will not be added retrospectively to a lifetime purchase already completed, and we will not invoice you for it afterwards. Features may be modified or discontinued as described in section 2; future features are included at the same access level as other plans, subject to your credit allowance. The lifetime plan is for use by one person or one business, includes the number of brand profiles stated at the point of sale, and may not be shared, resold, or operated as a shared account across multiple businesses. We may suspend accounts that materially breach this fair-use rule after contacting you.
If you buy the lifetime plan as a consumer, you have a right to cancel within 14 days under the Consumer Contracts Regulations 2013. Because you ask us to provide access immediately at the point of purchase, that right ends once you begin using the service under that request. To cancel within the 14-day window before using the service, email hello@rufusly.ai and we will refund the purchase in full.
Credits system
Listing rewrites and image generations consume credits from your plan allocation. Credits:
- Reset on your monthly renewal date for paid plans. The free trial allowance is a one-off and does not reset
- Do not roll over into the following period on paid plans. Unused trial credits stay on your account after the trial ends but are not topped up
- Cannot be transferred between accounts
- Are consumed at the point of generation, regardless of whether you use the output
If a generation fails due to a technical error on our part, the credit will be refunded to your account.
Intellectual property
Your content
You retain all intellectual property rights to the content you upload to Rufusly and to the AI-generated outputs produced using your inputs. We do not claim ownership of any content you create through the service.
Licence to us
By uploading content to Rufusly, you grant us a limited, non-exclusive licence to store, process, and transmit that content solely to provide the service to you. We do not use your content to train AI models without your explicit consent. All AI processing happens server-side, and we never send your buyers' names, email addresses, or other contact details to any AI model.
AI-generated content
You acknowledge that:
- AI-generated content may occasionally be inaccurate, incomplete, or unsuitable for your specific use case
- You are responsible for reviewing all AI-generated content before publishing it to Amazon or any other platform
- We do not guarantee that AI-generated listings will comply with Amazon's listing policies, you are responsible for ensuring compliance
- We are not liable for any Amazon account actions (warnings, suspensions, listing removals) resulting from content generated by Rufusly
Limitation of liability
- Rufusly is provided on an “as is” and “as available” basis without warranties of any kind
- We are not liable for any indirect, incidental, special, consequential, or punitive damages
- We are not liable for any damage to your Amazon account or standing with Amazon arising from use of Rufusly
- The two exclusions above do not apply to advertising spend caused by a change that Rufusly, through our fault, applied outside the limits of your advertising plan, applied incorrectly, such as creating a campaign for the wrong product or setting a starting budget above the amount you confirmed, or applied to a campaign it did not create. For such a change we are liable for the additional advertising spend it caused, meaning the spend that would not have been incurred had the change not been applied. For this advertising-error liability, our total liability shall not exceed the greater of £2,500 or the amount you paid to us in the 12 months preceding the claim
- Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot be limited by law
- Except for the advertising-error liability described above, our total liability for any claim shall not exceed the greater of £100 or the amount you paid to us in the 3 months preceding the claim
Indemnification
You agree to indemnify and hold harmless Rufusly from any claims arising from your use of the service in violation of these Terms or in violation of Amazon's terms of service.
Termination
By you
You may cancel your subscription at any time from your account settings. You may delete your account at any time, which will immediately revoke all Amazon connections and delete your data as described in our Privacy Policy.
By us
We may suspend or terminate your account if you violate these Terms, if your payment method fails and is not resolved within 7 days, or if required by law.
Governing law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
